French regulatory obligations SAPIN 2 and
European directive

Since January 2018 in France with SAPIN 2 law on ethics and transparency on business practices; recently enhanced with the European directive, adopted in April 2019:

« It is an obligation for all companies with 50+ employees, to set a Speak-Up line / Ethics line and to provide appropriate protection for whistleblowers » .

The regulatory obligation also applies to public organizations such as cities with 10,000
inhabitants, departments, regions.

Because it is a regulatory obligation in France and in Europe, along with a protection of whistleblower against retaliation and dismissal, to have this reporting made available to employees who wish to come forward, aiming at detecting and remediating unlawful or unethical misconducts.

Beyond regulatory compliance, a Speak-Up line is above all, a powerful tool for preventing and managing legal and reputational risks.

Funneling and addressing effectively all allegations reported, to proactively correct unethical behaviours and misconducts, would prevent incidents to be exposed to public and spread out on social networks.

Features for a Speak-Up line

The new regulatory defines an obligation to set up a Speak-Up line and appropriate procedures to handle, manage and monitor all alerts issued by whistleblowers.

Failing to provide effective reporting line, to address issues and allegations would trigger administrative sanctions, in the event of regulatory inspection.

A Speak-Up report and alert may be a concern or an allegation addressing the following matters:
  • a crime, a malpractice such as fraud, corruption, company's asset infringement, tax evasion,...;
  • an breach of laws, international regulations and company's policies & code of ethics;
  • harassment, bullying, discrimination, personal privacy;
  • a threat or prejudice to the public interest such public health, safety or environmental issues,...

Each whistleblowing report, whether unsubstantiated or proven allegations, must be investigated with impartiality and confidentiality upon reception, in accordance with set routine review procedure for controls & checks, as recommend by regulators.
